Welcome to SurePoint Talent Group LLC ("SurePoint," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website at www.surepointhire.com (the "Site") and the recruiting, talent acquisition, and human resources consulting services we provide (the "Services").
By accessing the Site, requesting a consultation, or engaging our Services, you ("you," "Client," or "user") agree to these Terms. If you do not agree, please do not use the Site or our Services.
1. About SurePoint
SurePoint Talent Group LLC is an Illinois limited liability company providing direct-hire recruiting, talent acquisition support, human resources consulting, and workforce solutions to employers. We act solely as an independent contractor and are not the employer of any candidate we identify, present, or place.
2. Our Clients and Who Pays
SurePoint provides Services to employers and organizations. We do not charge candidates or job seekers any fee, directly or indirectly, for any service. All fees for our Services are paid by employer Clients. Any individual submitting information to us as a candidate does so free of charge and is under no obligation to purchase anything.
3. Scope of Services
The specific Services we provide are defined in a separate written services agreement, statement of work, or engagement confirmation between SurePoint and the Client. These Terms govern general use of the Site and supplement, but do not replace, any signed agreement. In the event of a conflict between these Terms and a signed services agreement, the signed agreement controls.
Services may include, depending on the engagement selected:
Direct-hire recruiting and candidate placement
Candidate sourcing, screening, and presentation
Talent acquisition support
Hiring process review and improvement
Employee relations and workforce operations support
Turnover and retention analysis
Human resources consulting
4. No Guarantee of Outcomes
SurePoint does not guarantee any hiring, placement, interview, offer, employment, or business result. Our Services are intended to support and improve hiring and workforce outcomes, but all final hiring and employment decisions rest solely with the Client. The Client is responsible for conducting its own interviews, reference checks, background checks, and hiring evaluations, and for complying with all applicable federal, state, and local employment laws.
SurePoint does not provide legal advice. Information and recommendations provided in the course of HR consulting are practical guidance only and are not a substitute for advice from a licensed attorney.
5. Fees and Payment
Fees for Services are set out in the applicable signed services agreement or engagement confirmation and are payable by the employer Client. Where payment is made directly through the Site or by invoice, payment terms, timing, and any deposit requirements are governed by the applicable agreement or invoice.
Unless a signed agreement states otherwise, fees are due as invoiced, and amounts not paid when due may accrue interest and reasonable costs of collection as permitted by law and as specified in the applicable agreement.
6. Client Responsibilities
The Client agrees to:
Provide accurate, complete, and timely information necessary for SurePoint to perform the Services
Provide truthful compensation, job-condition, and role information
Conduct its own interviews, background checks, reference checks, and hiring evaluations
Comply with all applicable employment, anti-discrimination, and labor laws
Communicate in a timely manner throughout the engagement
SurePoint is not responsible for delays or outcomes caused by incomplete, inaccurate, or delayed information from the Client.
7. Candidate Information and Confidentiality
Candidate information shared by SurePoint is confidential and provided solely for the Client's internal evaluation of that candidate for the role for which the candidate was presented. The Client agrees not to share, forward, or use candidate information for any other purpose, and not to circumvent SurePoint by engaging a presented candidate outside the terms of the applicable services agreement.
Both parties agree to maintain the confidentiality of proprietary business information, compensation information, and candidate information exchanged in connection with the Services.
8. Intellectual Property
All content on the Site, including text, graphics, logos, and materials created by SurePoint, is the property of SurePoint Talent Group LLC and is protected by applicable intellectual property laws. Work product, templates, reports, and materials developed by SurePoint in the course of an engagement remain the property of SurePoint except as expressly provided in a signed services agreement. You may not copy, reproduce, or redistribute Site content without our prior written permission.
9. Acceptable Use
You agree not to use the Site or Services to:
Violate any applicable law or regulation
Submit false, misleading, or fraudulent information
Infringe the rights of any third party
Interfere with or disrupt the operation or security of the Site
Attempt to gain unauthorized access to any portion of the Site or its systems
10. Disclaimers
The Site and Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. SurePoint does not warrant that the Site will be uninterrupted, error-free, or free of harmful components, or that any particular result will be achieved through the Services.
11. Limitation of Liability
To the fullest extent permitted by law, SurePoint Talent Group LLC shall not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of profits, revenue, data, or business, arising out of or relating to the Site, the Services, or any hiring or employment decision, whether based in contract, tort, or any other legal theory.
To the fullest extent permitted by law, SurePoint's total aggregate liability for any claim arising out of or relating to the Services shall not exceed the amount of fees actually paid by the Client to SurePoint for the specific engagement giving rise to the claim.
The Client assumes sole responsibility for all final hiring and employment decisions.
12. Indemnification
The Client agrees to indemnify and hold harmless SurePoint Talent Group LLC and its members, officers, and agents from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of the Client's hiring decisions, employment practices, use of the Services, or violation of these Terms or applicable law.
13. Third-Party Links
The Site may contain links to third-party websites or services. These are provided for convenience only. SurePoint does not control and is not responsible for the content, policies, or practices of any third-party site.
14. Privacy
Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review it to understand how we collect and handle information.
15. Changes to These Terms
SurePoint may update these Terms from time to time. The "Last updated" date at the top reflects the most recent version. Continued use of the Site or Services after changes are posted constitutes acceptance of the revised Terms.
16. Governing Law and Venue
These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms, the Site, or the Services shall be brought exclusively in a court of competent jurisdiction located in Cook County, Illinois, unless otherwise required by applicable law.
17. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
18. Entire Agreement
These Terms, together with any signed services agreement and our Privacy Policy, constitute the entire agreement between you and SurePoint regarding the Site and Services, and supersede all prior understandings relating to the same subject matter.
